Terms & Conditions

These Terms and Conditions govern purchases made through Vispronet.com and transactions between you and Vispronet.

Vispronet.com is operated by Vispronet for customers in the United States and Canada. These Terms and Conditions apply only to purchases made through Vispronet.com and do not apply to purchases made through affiliated companies or their websites.

Entire Agreement

These Terms and Conditions, together with any applicable order confirmation, quotation, or other written agreement between the customer and Vispronet, constitute the agreement governing the sale of products and services.

No modification, representation, or agreement that conflicts with these Terms and Conditions is binding on Vispronet unless authorized in writing by an authorized representative of the company.

Pricing

All prices are stated and charged in U.S. dollars. Prices do not include applicable sales tax or other taxes unless otherwise stated.

Prices displayed on our website are subject to change without notice. The price applicable to an order is the price presented at the time the order is placed, subject to the circumstances described in these Terms and Conditions.

In the event of an unexpected and substantial increase in the cost or unavailability of materials, products, or other necessary inputs required to fulfill an order, Vispronet reserves the right to cancel the affected order or portion of the order and issue a refund of any amounts paid for the canceled portion. We will notify the customer as soon as reasonably practicable if this occurs. Quotations issued by Vispronet may be subject to the validity period and other terms stated in the quotation.

Orders and Order Acceptance

Submitting an order through the Vispronet website, by phone, by email, or through another sales channel constitutes a request to purchase the products or services identified in the order. An order is not accepted by Vispronet until Vispronet accepts the order for processing.

Vispronet reserves the right to accept, decline, or cancel any order, in whole or in part, for reasons including product availability, pricing or listing errors, payment or credit issues, suspected fraud or unauthorized activity, inability to fulfill the order, or other legitimate business reasons. If Vispronet cancels an order after payment has been received, Vispronet will refund amounts paid for the canceled portion of the order.

Order confirmations are provided for informational and processing purposes and do not necessarily indicate that production has begun or that the order cannot be canceled or modified.

Vispronet may correct errors in product descriptions, specifications, pricing, availability, or other order information. If an error materially affects an order, Vispronet may cancel or adjust the affected order and will notify the customer as soon as reasonably practicable.

Customer Order Changes and Cancellations

Customers may request cancellation of an order at any time before production begins. For custom or personalized orders, an order may be canceled before the customer approves the artwork proof. For stock products, an order may be canceled before the order ships.

Customers may request cancellation by contacting Vispronet or, where available, by using the cancel order option on the order details page of the Vispronet website. A cancellation request is not effective until the cancellation is confirmed by Vispronet or the order is successfully canceled through the website.

Once a custom or personalized order has entered production, or a stock order has shipped, cancellation is no longer available. Customer-requested changes or cancellations after production has begun may be subject to additional charges or may not be available, depending on the status of the order and costs already incurred.

If Vispronet cancels an order for reasons described elsewhere in these Terms and Conditions, Vispronet will refund amounts paid for the canceled portion of the order.

Customer's Obligations

Customers are responsible for providing accurate information, artwork, photographs, logos, text, and other materials submitted for use in an order. Customers are responsible for ensuring that they have all rights, permissions, and licenses necessary for Vispronet to use those materials to fulfill the order.

By submitting customer-provided content, the customer represents that the use of that content as requested does not infringe or violate the intellectual property, privacy, publicity, or other rights of any third party.

Customer-provided content remains the property of the customer or its respective owner. Any original artwork, designs, templates, or other creative materials created by Vispronet remain the property of Vispronet unless otherwise agreed in writing. The customer receives the rights necessary to use the finished products purchased from Vispronet, subject to these Terms and Conditions.

Additional requirements regarding artwork, design services, proof approval, and production based on approved artwork are addressed in the Artwork and Design section of these Terms and Conditions.

Artwork and Design

For custom or personalized products, customers are responsible for reviewing and approving the artwork, design, specifications, dimensions, colors, text, and other details of an order before production.

Where Vispronet provides a proof for customer approval, production will be based on the approved proof and applicable order specifications. Customers are responsible for reviewing proofs carefully and identifying any errors or requested changes before approving the proof, including spelling, grammar, dimensions, colors, images, logos, artwork placement, and other design details.

Customers are responsible for providing artwork and other files in a format and quality suitable for the intended product. Vispronet may identify apparent issues with submitted artwork or files and may request revised files or provide recommendations, but customers remain responsible for the suitability and accuracy of customer-provided artwork.

Vispronet may provide design assistance or create artwork on behalf of a customer. The scope of any design assistance, including available revisions or other limitations, may vary by product or service and may be communicated during the ordering process.

Colors displayed on computer monitors and other digital devices may differ from the colors produced by printing processes. Minor color differences resulting from differences between digital displays, proofs, printing processes, materials, or production runs do not necessarily constitute a product defect.

Customer-requested changes made after artwork approval or after production has begun may result in additional charges or changes to the production and delivery schedule. Vispronet will notify the customer of any applicable additional charges or delays when reasonably practicable.

Vispronet is not responsible for errors in customer-approved artwork or specifications, including errors that were present in customer-provided artwork or introduced through customer-requested changes, except to the extent the final product materially differs from the approved artwork or specifications due to an error by Vispronet.

Prohibited or Objectionable Artwork

Vispronet reserves the right to refuse to produce or reproduce artwork, text, images, or other customer-provided content that, in Vispronet's reasonable judgment, is unlawful, threatening, harassing, hateful, discriminatory, defamatory, or otherwise seriously objectionable.

This may include content that promotes or encourages violence, hatred, or discrimination against individuals or groups based on characteristics such as race, ethnicity, religion, national origin, sex, sexual orientation, gender identity, disability, or other protected characteristics.

Vispronet may also refuse content that promotes or facilitates illegal activity or that infringes the intellectual property, privacy, publicity, or other legal rights of another person or entity.

Vispronet may consider the context and intended use of submitted content when determining whether to produce it. The fact that content is controversial, offensive, political, religious, sexually oriented, or otherwise objectionable to some people does not by itself require Vispronet to refuse an order.

If Vispronet determines that submitted content cannot be produced, Vispronet may decline the order, request modified artwork, or cancel the affected portion of the order and refund amounts paid for that portion.

Product Variations and Tolerances

Products may have minor variations in color, appearance, or dimensions as a result of normal manufacturing processes and differences between digital displays, proofs, printed products, and materials. Minor variations that are within reasonable production tolerances do not constitute a product defect.

Actual dimensions of textile products may vary slightly from stated dimensions due to normal manufacturing and material characteristics. Where a specific dimensional tolerance applies to a product, it may be stated on the applicable product page or other product specifications.

For custom products, production is based on the approved artwork and specifications for the order. Additional information regarding artwork, proofs, and customer approval is provided in the Artwork and Design section of these Terms and Conditions.

Shipment and Delivery

Production and delivery times shown on our website are based on the production method and shipping service selected for the order. Production times may include options such as standard production, expedited production, or same-day production, as applicable to the product.

Production time begins after we have received all information, payment, artwork, and approvals required to produce the order. Customers are responsible for providing required information and approvals in a timely manner. Delays caused by missing information, payment issues, customer-requested changes, or delayed artwork approval may affect the production and delivery schedule.

We make reasonable efforts to meet the production and delivery timeframes provided for an order. Delivery dates and transit times depend in part on the shipping carrier and service selected. Once an order has been shipped, Vispronet is not responsible for delays caused by the carrier or other circumstances outside our reasonable control. This does not limit our responsibility for delays caused by our own failure to produce or ship an order as represented.

Free or promotional shipping applies only to eligible standard ground shipping methods and does not include expedited shipping charges unless otherwise stated.

For international shipments, the customer is responsible for applicable customs duties, taxes, brokerage charges, and other import fees. Vispronet is not responsible for customs clearance delays or delays caused by the destination country's customs authorities.

We may make partial shipments when appropriate. For example, portions of an order may be shipped separately or using different shipping methods to meet production or delivery requirements. We may also upgrade or change the shipping method when necessary to meet the delivery timeframe. When Vispronet changes the shipping method for its own production or fulfillment purposes, the customer will not be charged additional shipping costs as a result of that change.

We may invoice or charge for portions of an order as they are shipped when the order is fulfilled in multiple shipments.

Flagpoles and Large-Format Installations

Certain products, including flagpoles and very large fabric graphics or banners intended for building, architectural, or other large-scale installations, require additional consideration of site conditions, installation methods, structural requirements, and environmental conditions.

Customers are responsible for determining whether the products and their intended installation are appropriate for the specific site and application, including applicable building codes, permits, engineering requirements, mounting or anchoring requirements, wind and weather conditions, and other local conditions. Customers are also responsible for ensuring that products are properly installed, secured, and used in accordance with applicable product instructions and requirements.

Vispronet may provide product specifications or general installation information based on the products purchased. Such information is provided for general guidance only and does not constitute site-specific engineering, structural analysis, permitting assistance, installation services, or professional advice.

Large fabric graphics and banners installed outdoors are subject to wind, weather, and other environmental conditions that can affect their performance and service life. Customers are responsible for selecting installation methods and using products in a manner appropriate for the intended application and local conditions.

Vispronet is not responsible for damage, product failure, or injury resulting from improper installation, inadequate mounting or anchoring, failure to account for site-specific conditions, exceeding product specifications, misuse, or other conditions outside the intended use of the product.

Warranty

Vispronet provides limited warranties for eligible products as described in the Returns & Warranty Policy. The applicable warranty period and coverage may vary depending on the product and its intended use.

The limited warranty applies to covered manufacturing defects and does not cover damage or problems resulting from misuse, improper installation or assembly, accidents, normal wear and tear, neglect, unauthorized modification, use outside the product's intended application, or other conditions excluded by the applicable warranty.

Warranty claims are subject to evaluation by Vispronet. We may request photographs, additional information, or return of the affected product to evaluate the claim and determine whether the reported issue is covered.

If a claim is covered, Vispronet will provide an appropriate remedy as described in the Returns & Warranty Policy. Depending on the nature of the issue, the remedy may include replacement parts or hardware, repair, replacement of the affected product, or a refund.

The limited warranties described in the Returns & Warranty Policy are the express product warranties provided by Vispronet, subject to the terms, limitations, and exclusions stated in the applicable policy and these Terms and Conditions.

Reservation of Ownership for Credit Accounts

For customers purchasing products on approved credit terms, Vispronet retains ownership of products supplied on credit to the extent permitted by applicable law until all amounts due for those products have been paid in full.

This provision applies only to purchases made under an approved credit account and does not affect products purchased and paid for at the time of order.

Customers purchasing on credit agree to cooperate with Vispronet and provide reasonable information or documentation requested in connection with unpaid invoices and Vispronet's rights in products supplied on credit.

Nothing in this section permits a customer to dispose of, transfer, or otherwise encumber products in a manner that violates Vispronet's rights or applicable law.

Credit Accounts

Vispronet may extend credit to customers who apply for and are approved for an account. Approval of a credit account is at Vispronet's discretion and does not guarantee that credit will be extended for any particular order.

By submitting a credit application, the customer requests permission to purchase products and services on account and agrees to the credit terms set forth in these Terms and Conditions and any additional terms provided with the credit account.

Payment Terms for Credit Accounts

Customers with approved credit accounts are generally eligible for Net 30 payment terms unless otherwise agreed in writing.

Invoices are due in full within 30 days of the invoice date. Payment terms apply only to customers purchasing through an approved credit account and do not apply to orders paid by credit card or other payment methods at the time of purchase.

Customers may not withhold or set off amounts owed to Vispronet against claims or amounts allegedly owed by Vispronet, except to the extent required by applicable law or where the claim has been finally determined to be valid.

Vispronet reserves the right to suspend or revoke credit privileges if an account becomes past due or if the customer's creditworthiness or financial condition changes.

Default and Collection

If a customer with an approved credit account fails to pay an amount when due, Vispronet may suspend or revoke the customer's credit privileges and take reasonable steps to collect the outstanding balance.

If Vispronet takes legal action to collect amounts owed under a credit account, the customer is responsible for Vispronet's reasonable attorney's fees and court costs to the extent permitted by applicable law.

Personal Guarantees for Credit Accounts

When a credit account is established for a sole proprietorship, partnership, or other business structure in which one or more individuals may have personal liability for the business's obligations, Vispronet may require a personal guaranty as part of the credit application or account approval process.

Any individual who signs a personal guaranty is personally responsible for the obligations covered by that guaranty, subject to its terms.

Warranties & Disclaimers

Vispronet makes reasonable efforts to provide accurate and current information on its website. However, product descriptions, specifications, pricing, availability, images, and other website content may contain errors, inaccuracies, or omissions. Vispronet reserves the right to correct errors and to change or update products, services, specifications, prices, and other website content at any time without notice.

Information provided on the website is for general informational purposes and is not guaranteed to be complete, current, or suitable for any particular application. Vispronet does not guarantee that the website or its content will always be accurate, complete, current, available, uninterrupted, secure, or error-free.

Product and Service Warranties

Except for warranties expressly provided in these Terms and Conditions, the applicable product documentation, the Returns & Warranty Policy, or a separate written agreement, products and services are provided without additional warranties, express or implied, to the fullest extent permitted by applicable law.

To the fullest extent permitted by applicable law, Vispronet disclaims implied warranties, including the implied warranties of merchantability and fitness for a particular purpose, and any implied warranty of non-infringement. Nothing in these Terms and Conditions excludes or limits any warranty or right that cannot lawfully be excluded or limited.

Any express limited warranty provided by Vispronet is governed by the terms of that warranty and the applicable Returns & Warranty Policy. The existence of a limited warranty does not create any warranty beyond its stated terms.

Vispronet does not warrant that products or services will meet a customer's particular requirements or expectations unless those requirements or specifications have been expressly agreed to in writing by Vispronet.

Third-Party Content and Links

The website may contain links to third-party websites or references to third-party products or services. These links and references are provided for convenience or informational purposes only. Vispronet does not control and is not responsible for the content, accuracy, availability, privacy practices, products, or services provided by third parties.

Accessing third-party websites or purchasing third-party products or services is at the customer's own discretion and risk. The inclusion of a link or reference does not constitute an endorsement, recommendation, or guarantee by Vispronet.

Downloadable Materials

Vispronet may provide downloadable materials through its website, including artwork templates, PDF files, and color or print-production settings files. These materials are provided for convenience and for use with compatible software and equipment.

Vispronet makes reasonable efforts to ensure that downloadable materials are accurate and suitable for their intended purpose, but does not guarantee that they will be compatible with every software version, operating system, or equipment configuration.

Customers are responsible for determining whether downloaded materials are appropriate for their particular use and for maintaining appropriate security measures on their devices. To the fullest extent permitted by law, Vispronet is not responsible for damage to a customer's computer system, software, equipment, or data resulting from the use or download of materials from the website.

International Access

The Vispronet website may be accessible from locations outside the United States. Product availability, specifications, pricing, shipping options, and other information may vary by location. References to products or services on the website do not imply that such products or services are available or intended to be offered in every country or jurisdiction.

Customers may download and use artwork templates, PDF files, color settings, and other materials that Vispronet makes available for download for their intended purpose in connection with preparing or ordering products from Vispronet. Such permission does not transfer ownership of those materials or grant any broader right to reproduce, distribute, modify, or commercially exploit them.

Notification of Copyright Infringement

Vispronet respects the intellectual property rights of others and expects users of its website and services to do the same. In appropriate circumstances, Vispronet may restrict or terminate accounts or access for users who repeatedly infringe the intellectual property rights of others.

When purchasing Vispronet products through a third-party marketplace, customers should verify that the product is being sold by Vispronet or an authorized seller. If you are unsure whether a seller is authorized, please contact Vispronet before making a purchase.

Vispronet actively monitors for unauthorized use of its intellectual property, fraudulent listings, and counterfeit products and may take appropriate action against unauthorized sellers.

Indemnity

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Vispronet, its affiliates, officers, directors, employees, agents, licensors, suppliers, and service providers from and against claims, demands, losses, liabilities, damages, costs, and reasonable attorneys' fees arising out of or relating to:

2. your violation of applicable law or the rights of another person or entity;
3. content, artwork, information, or other materials that you submit to Vispronet or request Vispronet to use in connection with an order; or
4. your misuse of the website, products, or services.

This indemnification obligation does not apply to the extent that a claim results from Vispronet's own negligence, willful misconduct, or violation of applicable law.

Limitation of Liability

To the fullest extent permitted by applicable law, Vispronet's liability arising out of or relating to a product or order is limited to the amount paid or payable to Vispronet for the product or order giving rise to the claim.

Vispronet is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, loss of business, or loss of use, except to the extent such limitation is prohibited by applicable law.

Vispronet is not responsible for loss, damage, or failure resulting from circumstances outside its reasonable control, including severe weather, natural disasters, accidents, vandalism, improper handling, improper installation or assembly, misuse, unauthorized modification, or use outside the intended application of the product.

Nothing in these Terms and Conditions limits liability to the extent that such limitation is prohibited by applicable law.

Customer Information

Vispronet collects and processes customer information as necessary to process orders, provide products and services, communicate with customers, provide customer support, and operate our business.

The collection, use, disclosure, and protection of personal information are governed by our Privacy Policy.

Applicable Law and Venue

These Terms and Conditions and any dispute arising out of or relating to an order, product, or business relationship with Vispronet are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-law principles.

To the extent permitted by applicable law, any legal action or proceeding arising out of or relating to these Terms and Conditions, an order, or the parties' business relationship shall be brought in the state or federal courts located in or serving Cumberland County, Pennsylvania, and the parties consent to the jurisdiction and venue of those courts.

Consumer Rights

Nothing in these Terms and Conditions is intended to waive, limit, or exclude any rights, remedies, warranties, or protections that cannot lawfully be waived, limited, or excluded under applicable law.

Severability

If any provision of these Terms and Conditions is determined to be unenforceable or inapplicable to a particular customer or transaction, that provision shall be enforced to the fullest extent permitted by law, and the remaining provisions shall remain in effect.
